AGREEMENT


The parties agree that the Buyer agrees to sell the Sellers products and the Buyer agrees to buy products under the terms of this Agreement. Therefore, in consideration of the mutual obligations set forth below, and for the consideration outlined in this Agreement as well as any other good and valuable consideration, the Buyer and Seller agree to the following terms and conditions.

  1. Price and Quantity

Products will be ordered by the Buyer and shipped by Seller at prices and quantities as agreed to by

the parties as outlined in the invoices issued and subject to the terms and conditions of sale.


Buyers first order MUST be within month of signing up for a wholesaler account or the buyers wholesale

account will be deactivated. MINIMUM ORDER SPEND, $250.00 AUD of any product.


The Seller reserves the right to change prices upon written notice to Buyer, 4 week’s notice will be given to the buyer when price changes occur. Seller agrees to exercise commercially reasonable best efforts to supply the Products to Buyer in a timely manner. Failure to comply with the MOS will result in the order not being accepted.


  1. Payment

The Buyer shall pay for all Products upfront and in full, via the checkout within our online wholesale shop. Once an order has been accepted the goods will be arranged for dispatched delivery.

We will ship your order and provide you with a tracking number.


  1. Shipping

All Products will be sent in a timely manner upon receipt of payment from the Buyer. The Buyer agrees to pay for all shipping, handling, and insurance costs. Risk of loss shall transfer from Seller to Buyer at the point of the Seller releasing the goods to the carrier of its choice for distribution to the Buyer. The seller can not be held responsible for delayed delivery, once the goods have been dispatched.


  1. Returns

The Seller will agree to exchange items if they are defective or damaged only and the Buyer returns the items to the Seller within 14 days of receiving the items. If more than 14 days have gone by since the Buyer’s received the damaged or defective items, the Seller is not required to provide a refund or exchange. Where possible, the Seller will exchange damaged items for the same item before agreeing to a refund.


We do not facilitate refunds for change of mind, change of your financial situation or circumstances, so please choose carefully.


To be eligible for a return, the Buyer agrees that the item must be unused, in its original packaging and in the same condition that it was received in. Once the return has been received and inspected, the Seller agrees to notify the Buyer via written correspondence of the Seller’s approval or rejection of the exchange or refund. If the Seller agrees to provide the Buyer with a refund, then the Seller agrees to provide the refund within 7 days of receiving the Buyer’s bank account details.


  1. Confidentiality

The Buyer agrees to keep all details of this agreement, including the price for Products confidential and to use such information only for the purposes of performance of their respective obligations under this agreement.


The Buyer must not disclose any information of this agreement to anyone else except as permitted under this agreement or agreed by the Seller in writing. The obligations imposed under this clause will survive the termination of this agreement.


  1. Marketing of goods for sale

The Buyer agrees that they are bound to sell the Products at the Recommended Retail Price (RRP) that the Seller stipulates in writing to the Buyer. This RRP is subject to change by the Seller at any time. Failure to comply with this will result in the Seller demanding the difference in the sale price and the RRP as damages from the Buyer. For clarification, the Buyer is permitted to sell the Products at a price that is higher than the RRP, however, never lower than the RRP.


The Buyer also agrees to only use images that the Seller provides for the marketing of the Products in the Buyer’s retail outlet and online store. The Seller agrees to provide the Buyer with professional images with professional models with the Product for the Buyer’s use on their website and social media pages. The Buyer acknowledges that the Seller retains copyright in all images supplied to the Buyer from the Seller. The Buyer agrees to tag the Seller (@browbibleacademy) in all posts which feature any images that the Seller provides to the Buyer.


A Dropbox link to the marketing images will be provided once the wholesale form has been completed and accepted.


The parties have indicated their acceptance of this Agreement by executing it by selecting the terms and conditions box.
